1. Agreement to Terms

By accessing or using Rush or any other products or services provided by Phoenix Horizon, Inc. ("Phoenix," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

Rush is AI agent software that can take actions on your behalf, including sending emails, posting to social media, and interacting with third-party services. You acknowledge and accept the unique risks associated with autonomous AI agents.

2. Description of Services

Rush is an AI agent operating system for macOS that enables you to:

  • Deploy and manage AI agents that perform tasks on your behalf
  • Connect third-party services (Google, Twitter, Slack) via OAuth
  • Generate artifacts (reports, analyses, content) through agents
  • Install agents from the Rush registry or build custom agents

3. User Responsibilities

You are solely responsible for:

  • All agent actions. Any action performed by an agent using your account or connected services is deemed authorized by you. Review and verify agent outputs before they result in real-world consequences.
  • Account security. Maintaining the security of your connected accounts (Gmail, Twitter, Slack, etc.). Any action performed using your OAuth tokens is your responsibility.
  • Third-party compliance. Complying with the terms of service and acceptable use policies of connected third-party services.
  • Accuracy verification. AI outputs may be inaccurate, biased, or hallucinated. Verify facts and review outputs before acting on them.
  • Legal compliance. Ensuring your use of Rush complies with all applicable laws and regulations in your jurisdiction.

4. Prohibited Uses

You may not use Rush to:

  • Engage in any activity that violates applicable laws
  • Commit fraud, theft, or financial crimes
  • Generate, distribute, or promote harmful, abusive, or illegal content
  • Harass, stalk, threaten, or intimidate others
  • Impersonate individuals or entities without disclosure
  • Send unsolicited messages (spam) via connected platforms
  • Bypass, disable, or circumvent safety measures or security controls
  • Access or attempt to access other users' data or accounts
  • Make fully autonomous decisions in legal, medical, or financial domains without human review
  • Violate the terms of service of connected third-party platforms
  • Overwhelm systems with excessive requests (denial of service)

5. Google API Services

Rush uses Google API Services to provide email, calendar, and spreadsheet functionality through AI agents. By connecting your Google account, you acknowledge that:

  • Rush accesses your Google data only to perform the specific agent tasks you invoke
  • Your Google data may be sent to LLM providers (Anthropic, OpenAI) as part of agent task execution
  • You can revoke Rush's access to your Google account at any time through Rush settings or Google Account permissions

Rush's use of Google API data is governed by our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements.

6. Intellectual Property

Your Content. You retain ownership of content you create or generate using Rush. By using Rush, you grant Phoenix a limited license to process, display, and store your content as necessary to provide the services.

Our Services. Phoenix and its licensors retain all rights in Rush, its agents, documentation, and other materials.

7. AI and Agent Limitations

You acknowledge that:

  • AI agents may produce inaccurate, incomplete, or biased outputs
  • Agents may occasionally take unintended actions due to misinterpretation or model limitations
  • We do not guarantee agents will successfully complete any task
  • AI agents are tools and should not be relied upon as substitutes for professional advice (legal, medical, financial)

8. Payment and Billing

Certain Rush features require payment. By subscribing to paid services, you agree to pay all applicable fees. Fees are non-refundable except as required by law. Usage-based charges (such as LLM API costs) are billed based on actual consumption.

9. Termination

We may suspend or terminate your access at any time, with or without cause. You may stop using Rush at any time. Upon termination, your right to use the services ceases immediately.

10. Disclaimer of Warranties

Rush is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that Rush will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate, reliable, or complete.

11. Limitation of Liability

To the maximum extent permitted by law, Phoenix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of Rush. Our total liability shall not exceed the greater of $100 or the amounts paid by you in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Phoenix from claims arising from your use of Rush, your violation of these Terms, actions taken by agents on your behalf, or content you create or generate.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved through binding arbitration. You agree to resolve disputes on an individual basis; class actions are not permitted.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through Rush or by other means. Continued use after changes become effective constitutes acceptance.
